1. Overview

Soldout Finds LLC (“Soldout Finds”, “we”, “us” or “our”) is a Massachusetts-based luxury sourcing and styling business that provides global personal shopping, product sourcing, and wardrobe styling services for clients worldwide. These Terms and Conditions (“Terms”) govern all use of Soldout Finds’ services and any transactions or orders placed with us. By engaging our personal shopping or styling services – including requesting item sourcing or making any payment – you acknowledge and agree to be bound by these Terms. If you do not agree with any part of these Terms, you should refrain from using our services.

2. Sourcing & Availability

Our sourcing service involves locating luxury fashion and lifestyle items from a variety of third-party boutiques, brands, and suppliers worldwide. All items are subject to availability – no item is guaranteed in stock until your order is confirmed by us and full payment has been received. We cannot guarantee that a particular product will be obtainable until an order is finalized. If an item becomes unavailable after you have made a request or payment, we will inform you as soon as possible to discuss alternatives or issue a refund where appropriate.

When we quote or invoice an item for you, this does not constitute a confirmed purchase contract until payment is completed. Only once payment has been made in full and we have confirmed the order will the item be secured for you. We reserve the right to decline a sourcing request or cancel an order prior to confirmation if, for example, the item is no longer available or a pricing error is discovered (any such cancellation on our part would be communicated and any payment refunded promptly).

Item Condition: We source both brand-new and pre-owned/vintage items as requested. Any item we offer to source for you will be identified with its condition (e.g., New, Pre-Owned, or Vintage). Pre-owned and vintage pieces may show signs of previous wear or age, which will be described to you before purchase. Some items marked as pre-owned are in like-new condition, while others may have notable vintage characteristics or wear; you acknowledge that such items are purchased “as is” given their unique nature. We make no guarantee of the availability of stock for any particular condition or edition of a product, especially in the case of rare or limited items.

3. Pricing & Payment

All pricing for requested items and services will be communicated to you via an itemized invoice. Full upfront payment is required for all orders and services. Once we notify you that an item is available and issue an invoice, the invoice must be paid in full by the due date indicated (usually immediately or within a specified short window) to secure the item. We typically consider invoices valid for a limited time (e.g., 24–48 hours); if payment is not received within that time, the quoted item’s availability or price cannot be guaranteed and we may cancel the order.

Accepted Payment Methods: We accept several payment methods for your convenience, including bank wire transfer or deposit, major credit/debit cards, and secure electronic payments such as Zelle. Please note that credit card payments may incur a processing surcharge (for example, a 3.5% fee) to cover merchant fees. We will inform you of any such surcharge in advance. All payments are processed via secure, PCI-compliant payment processors.

Payment must be made in the currency specified on the invoice. Any applicable Massachusetts state sales taxes will be added to your invoice as required by law. For international orders, please note that our prices do not include any foreign taxes, import duties, or tariffs (see Shipping & Duties below).

Failure to Pay: Timely payment is essential. We reserve the right to cancel your order or suspend services if full payment is not received by the invoice expiration or due date. Failure to make timely payment may result in termination of our services to you. In the event of non-payment, we are not obligated to hold any item or continue sourcing it, and any deposit or partial payment made may be forfeited to cover our costs, as allowed by law and these Terms.

Pricing Adjustments: While we strive to provide accurate quotes, pricing of luxury items can be influenced by market factors outside our control. In rare cases, if we discover a pricing error or a significant change in the item’s price (for example, the retailer or seller changes the price before we secure the item), we will inform you and you will have the option to proceed at the corrected price or cancel the request. We do not charge retroactive price increases after your payment is received and order confirmed. Certain highly exclusive or hard-to-find items may be quoted at a premium price reflecting their rarity or demand; any such premium or our service fee will be clearly disclosed in advance.

4. Shipping & Duties

Shipping Arrangements: Soldout Finds will coordinate shipping of your purchased items to the address you provide. We ship to clients globally using courier services such as FedEx, DHL, UPS, and will provide tracking information once an item is dispatched. The shipping method and estimated delivery time will be communicated to you when your order is confirmed. While we endeavor to dispatch domestic (U.S.) orders within a reasonable timeframe (often within 5–10 business days of payment) and international orders as quickly as possible, actual delivery times may vary based on the item’s source location and destination. Any shipping costs will either be included in your invoice or quoted separately; if not explicitly charged, shipping is considered part of our service fee or included in the total price as stated.

Import Duties & Taxes: For international shipments (items shipped to a country other than the U.S.), you are responsible for all import duties, VAT, tariffs, or taxes imposed by the destination country’s authorities. Such charges are not included in the price you pay us (unless we explicitly advise that duties are prepaid, which is uncommon and would be specified). The courier may require payment of duties/taxes before or upon delivery; it is the client’s obligation to pay these costs to ensure the package clears customs. We have no control over these government-imposed charges and will not reimburse you for them. Similarly, any import documentation or information required (such as providing a tax identification number or customs broker information) is your responsibility to furnish in a timely manner. Failure to do so could result in delivery delays or the item being returned or destroyed by customs, and we shall not be liable for such outcomes.

Delivery and Risk of Loss: We will pack your items securely and dispatch them to the address you have specified. Once an item has been handed over to the shipping courier for delivery, risk and responsibility for that item passes to you. We are not liable for any loss, theft, or damage to the item that occurs after it has been delivered to your specified address or left at your location as per delivery instructions. This means that if a package is marked as delivered by the carrier (or signed for, if signature was required) and then goes missing or is damaged, you bear the responsibility. You agree to make any claims for loss or damage in transit directly with the courier. We strongly recommend that you ensure the delivery location is secure and consider obtaining shipping insurance or requiring signature on delivery for high-value items.

By default, our shipments may be sent without a signature required for delivery (to facilitate easier receipt), unless you request otherwise prior to dispatch. If you would like to require a signature confirmation upon delivery or have other special delivery requirements, please inform us when placing your order or before the item ships. We will accommodate such requests when possible and inform you of any additional costs (if applicable). Once the item is dispatched, we cannot change the delivery requirements.

Shipping Delays: We will do our best to meet any estimated delivery timelines, but please note that delivery dates are estimates only. Soldout Finds is not liable for delays or failures in delivery caused by third-party carriers, customs clearance processes, or any other factors beyond our immediate control. This includes, for example, delays due to international customs inspections, import/export restrictions, courier routing issues, weather, or any Force Majeure events (see that section below). Any transit times provided are an approximation; “rush” delivery may be arranged if feasible, but cannot be guaranteed. We will keep you informed of any significant delay that comes to our attention and assist in tracking the shipment, but we cannot offer compensation for delays attributable to third parties or unforeseen events.

5. Returns & Cancellations

All Sales Are Final. Due to the bespoke and concierge nature of our service – sourcing specific items upon your request – we maintain a strict no-returns and no-cancellations policy on all orders. Once you have confirmed your desire to purchase an item and submitted payment, the transaction is considered final and binding. We do not offer refunds, exchanges, or returns for delivered products due to the personalized nature of our service. We urge you to carefully consider your purchase before making payment, and to ask any questions about sizing, condition, or other details in advance, because you will not be able to return the item afterward.

Given that we source items specifically for you, we cannot return these products to the original retailers in most cases. Many sourced items are unique, limited, or sold under final sale conditions to us; therefore, we cannot accommodate “change of mind” returns or cancellations once the process has begun. This policy applies to all products, including new items, sale items, and pre-owned/vintage items. No exceptions will be made, including for reasons of fit, color, minor imperfections, or buyer’s remorse. We encourage clients to double-check all request details (such as size, color, and specifications) before payment.

If you request a cancellation of a sourcing order before you have made payment, we will attempt to accommodate that request; however, note that if we have already committed resources or incurred costs in sourcing the item (for example, placed an order with a retailer on your behalf or paid a deposit to hold the item), we may refuse the cancellation or require reimbursement of those costs. Once payment is made, cancellations are not permitted.

In the extremely rare event that a return must be arranged due to an error on our part or a situation explicitly required by law, it will be at our sole discretion and subject to conditions. For example, if we delivered the completely wrong item compared to what was ordered, we would coordinate a return and exchange or refund. However, such cases are exceedingly uncommon. Otherwise, all fees and payments are non-refundable under any circumstances. Our sourcing service fees, any shipping charges, and any customs or duty costs are likewise non-refundable once the service has been rendered and the item delivered, except as mandated by consumer protection laws.

(Note: This Returns & Cancellations policy does not affect any statutory rights you may have under applicable law. For instance, in certain jurisdictions, goods that are faulty or not as described may entitle you to specific remedies. Soldout Finds does not provide any independent warranties on products, and any manufacturer or retailer warranties would apply as normal. We can assist you in contacting the retailer or manufacturer in case of a significant product defect, but we do not itself accept returns or issue refunds.)

6. Styling & Wardrobe Services

In addition to product sourcing, Soldout Finds offers personalized styling and wardrobe consulting services to clients. These services may include, for example, one-on-one styling sessions, outfit curation, wardrobe audits, or lookbook creation, tailored to your individual needs. Styling and wardrobe services are customized and arranged upon request, typically after an initial consultation to determine the scope of work.

Because these services are bespoke, fees for styling or wardrobe consulting are quoted on a case-by-case basis. We will provide you with a proposal or quote outlining the specific services to be provided and the corresponding fee, which must be agreed upon before work begins. Pricing for styling services may depend on factors such as the number of outfits or hours of consultation, travel requirements, and any specific deliverables requested. Any quote or estimate provided is valid for a limited time, as indicated at the time of quoting.

Once you approve the styling service and payment is made, we will schedule and perform the service as agreed. All payments for styling and wardrobe services are due upfront, unless otherwise specified in writing. Since these services involve the investment of our time and expertise to produce personalized results, they are non-refundable once delivered. For example, if we conduct a wardrobe consultation or create a styling plan for you, you are paying for the professional service and advice, which cannot be “returned.”

If you need to reschedule a styling appointment, we require reasonable advance notice (we will outline the notice period in the service agreement or at booking). Last-minute cancellations or no-shows for consultations may result in a forfeiture of any fees paid or incur a cancellation fee, as these services are time reserved by our stylists.

Please note that any products recommended or sourced as part of a styling service are subject to the same Terms herein for Sourcing & Availability, Pricing & Payment, Shipping & Duties, and Returns & Cancellations. In other words, if as part of a styling package you decide to purchase certain items through our service, those product purchases will follow the applicable sections of these Terms. The styling advice or plan itself is considered delivered as a service and not subject to return/refund. We are committed to working closely with you to ensure satisfaction with our styling services, and we encourage open communication throughout the process to achieve the best results for your personal style goals.

7. Client Responsibilities

While we strive to provide a seamless concierge experience, clients also have certain responsibilities to ensure smooth transactions and service delivery. By using Soldout Finds’ services, you agree to the following:

  • Accurate Information: You must provide true, current, and complete information to us, whether it’s your contact details, shipping address, or specifications for the items you want sourced. By placing an order or service request, you confirm that all details you provide are accurate and that you will promptly update us if anything changes. We rely on the information you provide; any consequences of inaccurate or outdated information (such as a package delivered to a wrong address or an item sourced in an incorrect size due to misinformation) will be your responsibility.

  • Authorized Purchaser & Age: You represent that you are at least 18 years old and legally capable of entering into this agreement. You also confirm that you are the authorized user of any payment method (credit card, bank account, etc.) you provide to us and that there are sufficient funds or credit available to complete payment. If a payment is later denied or charged back (in violation of these Terms), you remain responsible for the full amount and any associated fees (see Chargebacks & Disputes below).

  • Timely Communication: You agree to remain responsive and communicative during the order process. This includes reviewing any preliminary product details or photos we send, confirming your choice promptly, and answering any follow-up questions (for example, regarding sizing or alternative options if your first request is unavailable). Delays in your responses can impact our ability to secure items, especially highly sought-after pieces. We are not liable for any loss of opportunity or availability of an item if you fail to respond or delay your decision-making. Similarly, if any additional information or documentation is required from you (such as customs information, see Shipping & Duties), you will provide it promptly to avoid delays.

  • Import Compliance: For international orders, you are responsible for complying with your local import laws and requirements. This may include providing identification, tax ID, or other documentation to customs or the courier when necessary. If an item is held in customs due to your failure to provide required information or to pay duties, any resulting storage fees or return costs will be your responsibility. Please be aware of your country’s import regulations before ordering.

  • Receipt of Delivery: It is your responsibility to ensure that someone is available to receive the package at the designated shipping address, or that delivery arrangements (such as a concierge or mailroom at your building) are in place. Once a package is delivered to the address you provided (or is marked as delivered by the courier), it is deemed delivered to you. Soldout Finds is not responsible for packages after they have been delivered or if they are unclaimed and returned by the courier. You should promptly collect your package and notify us if there are any issues with the delivery (though note our policies on loss/damage after delivery as stated). If you plan to be away around the expected delivery date, it is your duty to arrange for someone to receive the package or to let us know in advance so we can possibly adjust shipping timing.

  • Use of Products: You assume responsibility for the proper use and maintenance of any products purchased through our service. We are not liable for damage or issues caused by your handling of the product. Please follow any manufacturer care instructions. If a product requires special installation or usage conditions (for example, luxury electronics or fragile collectibles), ensure you adhere to those – misuse or neglect is not covered by any remedy through us.

  • After-Sales Issues: If you encounter a significant issue with a product (such as a manufacturing defect) upon receiving it, you should inform us promptly. While we do not accept returns (as detailed in Returns & Cancellations), we may assist you in communicating with the original retailer or manufacturer if the item is under their warranty or return policy, but we do not guarantee any particular outcome. Any such assistance will be at our discretion and as a courtesy. It remains your responsibility to pursue remedies with the manufacturer or retailer as applicable.

By fulfilling these responsibilities – providing accurate information, making timely decisions and payments, and cooperating in the process – you help us serve you better. Any breach of your obligations as a client (for example, willfully providing false information or attempting to circumvent payment) may result in suspension of service and potential legal action for any losses incurred by Soldout Finds.

8. Proof of Condition & Packaging

Soldout Finds takes care to ensure that you are fully informed of an item’s condition, especially for pre-owned or vintage items, and that items are packaged securely for shipment. We thoroughly inspect and document each item’s condition before shipping. As part of our process, we will often photograph the item and its packaging prior to dispatch. These photographs serve as proof of the item’s condition and the contents of the package at the time it left our possession. We maintain these records to verify that the item was in the described condition and appropriately packed, which helps resolve any disputes about damage or tampering during transit.

For pre-owned or vintage items, expect some natural signs of age or wear. We will communicate any notable imperfections to you, and such characteristics will be reflected in the product description and imagery we provide. We strive for transparency: if an item has a patina, slight discoloration, minor scratches, or other condition notes, you will be made aware before you finalize the purchase. You acknowledge that pre-owned items are sold “as is” regarding such wear; they have unique character from prior use, which is often part of their value and appeal. For example, vintage handbags might have slight interior marks, or collectible sneakers may show light creasing – these will not qualify as defects but rather expected characteristics of pre-owned luxury goods.

Packaging: We carefully pack all items using appropriate materials to protect them during transit. Luxury items will be packed with consideration to both safety and presentation. Whenever possible, we include any original packaging, boxes, dust bags, authenticity cards, or certificates that came with the item from the brand or retailer. If an item is new and comes with a branded box or shopping bag, those will be sent to you as well. For pre-owned items, original packaging may not be available, but we will still provide secure packaging and any third-party certificates of authenticity or appraisal that were provided to us, if applicable.

Before sealing the package, we verify the contents against your order and take note (and photos) of the inclusion of all parts or accessories (for instance, straps, locks, or extra laces, if those are meant to be included). This ensures that you receive everything you’re meant to. Upon receiving the package, we recommend that you also document the unboxing process for your records. If you believe an item is missing or the condition varies significantly from what was described, you must inform us immediately upon receipt. We will review the pre-shipment documentation on our end to address the issue. However, please recall that minor cosmetic wear on pre-owned items that was disclosed prior is not considered a discrepancy; only serious condition issues or missing items that contradict the invoice/description would be investigated.

In summary, Soldout Finds is committed to quality control and transparency. Our proof-of-condition photographs and detailed descriptions protect both parties: you can feel confident in knowing what you are getting, and we have assurance that the item left our hands in that documented state. This process helps prevent fraud and misunderstandings. By proceeding with a purchase, you acknowledge that you have reviewed the condition information provided and accept the item’s state as described.

9. Force Majeure

Soldout Finds shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure is caused by circumstances beyond our reasonable control. This includes, but is not limited to, events such as natural disasters (for example, floods, earthquakes, hurricanes), fires, epidemics or pandemics, war, terrorism or civil unrest, strikes or labor disputes, governmental actions or orders (such as import/export bans or sanctions), power outages, or failures in transportation and communication networks. These kinds of events are often referred to as “Force Majeure” events.

If a Force Majeure event occurs that affects our obligations – for instance, if an unforeseen customs embargo temporarily prevents us from importing certain goods, or a natural disaster in a region delays our supplier – we will notify you as soon as reasonably possible and make efforts to minimize the impact on your order. Our obligations will be suspended for the duration of the Force Majeure event, and we will resume service as soon as the situation is resolved. In such cases, any estimated delivery timelines will be adjusted accordingly.

Where a Force Majeure event makes it impossible or highly impractical to fulfill your order (for example, the item was destroyed in transit due to a disaster, or a government ban permanently prohibits fulfilling the order), we reserve the right to cancel the transaction. If we must cancel an order due to a Force Majeure situation, we will refund any payments you have made for undelivered items in full (or the portion of the service not provided) as your sole remedy. Alternatively, if the item can be sourced through an alternate route or at a later date, we may offer you the choice to proceed with a revised timeline.

Neither party (you nor us) will be considered in breach of the contract to the extent that performance is prevented by a Force Majeure event, provided that the affected party takes reasonable steps to mitigate the consequences and resume performance when possible. This clause does not excuse payment obligations: if a Force Majeure event affects you (for example, a natural disaster on your end), you are still expected to pay for orders you placed, but we will work with you on any necessary adjustments in delivery once you’re able to communicate.

In summary, certain extreme events outside anyone’s control might impact service. Each party agrees to cooperate and act in good faith to overcome or mitigate the effects of such events.

10. Chargebacks & Disputes

We value open communication and commit to working with our clients to resolve any issues. To that end, you agree to contact Soldout Finds directly with any concerns or disputes regarding charges or services, and to give us a reasonable opportunity to resolve the issue, before initiating any chargeback, bank dispute, or payment reversal with your financial institution. By using our services and making a payment, you expressly agree not to initiate any chargeback or dispute against Soldout Finds LLC or its payment processors without first attempting to resolve the matter with us in good faith.

If you believe there has been an error in billing, an unauthorized transaction, or you have not received what you were promised, you must notify us as soon as possible. We will investigate and, if an error is found on our side, we will correct it (for example, by issuing a refund or adjustment if warranted under these Terms). Most misunderstandings can be resolved through straightforward communication.

Prohibited Chargebacks: Because all sales are final and we thoroughly document transactions (per these Terms), frivolous or unfounded chargebacks will be contested. Examples: filing a chargeback claiming “item not received” when tracking shows it was delivered to your address, or claiming an order was “not authorized” despite you ordering and using the item, will be viewed as potential fraud. You agree that if you initiate a chargeback in violation of this agreement, we have the right to dispute it and provide evidence of your order, communications, and these Terms to the card issuer or bank. Any chargeback or reversal that is resolved in our favor (i.e., deemed improper) will result in your remaining obligation to pay for the order, and you agree to reimburse us for any fees or costs we incur due to the improper chargeback. This may include bank chargeback fees, reasonable attorneys’ fees, and other expenses required to enforce our rights. We reserve the right to pursue legal action against fraudulent chargebacks or payment disputes.

To be clear, this clause does not prevent you from raising a genuine billing issue or protect us from legitimate unauthorized use of your payment method. If your credit card was truly stolen or compromised and used with us, you have the right to dispute those with your bank – we ask that you also inform us so we can cooperate in such cases. Our intention is to prevent abuse of the chargeback process for valid transactions that we fulfilled according to your request and these Terms.

Dispute Resolution: Any dispute arising from our services or these Terms that cannot be amicably resolved between us shall be handled in accordance with the Governing Law & Jurisdiction provision below. We encourage resolving any complaints by contacting our team directly at the contact information provided on our website; we find that most issues can be solved quickly to everyone’s satisfaction without the need for formal action. If a dispute does escalate, you and Soldout Finds agree to resolve it in the courts specified and not through any form of collective or class action (to the maximum extent permitted by law).

By proceeding with a purchase, you indicate your understanding of this no-chargeback provision and agree to abide by it.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Soldout Finds LLC’s liability to you is limited. We shall not be liable for any losses, damages, or injuries of any kind arising out of or related to your use of our services or any products sourced for you, except to the extent directly caused by our gross negligence or willful misconduct, or as otherwise required by law. This means that if something goes wrong, our responsibility to you is limited and we do not accept liability for every possible outcome, particularly those outside our control or not reasonably foreseeable.

Specifically, and without limiting the above, Soldout Finds is not liable for:

  • Delays or Performance Failures by Third Parties: Any delay, failure, or mishap in the sourcing or delivery process that is attributable to third parties (such as suppliers, shipping carriers, customs agencies, payment processors, etc.) or events outside our control. For example, if a boutique fails to notify us that an item sold out and delays fulfillment, or a courier misroutes a package, or customs holds an item, we will assist in remedying the issue but are not liable for the direct consequences of those third-party actions. Likewise, we are not responsible for any loss arising from a retailer’s refusal or inability to fulfill an order (beyond refunding you if applicable), or a manufacturer’s product defect (though we may help you contact them as noted).

  • Market Changes and Availability Fluctuations: Any changes in market conditions that impact product availability or pricing. Luxury markets can be volatile; prices for limited items can increase, or items can suddenly become scarce. We do not guarantee continuing availability of any item at a later date nor assume liability if an item’s value changes (up or down) after you purchase it. Once you have bought an item, market fluctuations (for instance, a subsequent price drop by a retailer, or an increase in resale value) are at your own risk and benefit. We also are not liable if we are unable to source an item because external market factors (e.g., a sudden embargo on certain goods or a brand’s decision to halt supply) made it impossible – our obligation in such cases is limited to refunding any money you paid for an undeliverable item.

  • Client’s Use or Misuse of Products: Any damage, injury, or loss caused by your use of a product obtained through us, especially if used in a manner inconsistent with the product’s intended use or instructions. Once the product is in your hands, you are responsible for using it safely and properly. For example, if you purchase a delicate couture garment and it gets damaged because of improper care or cleaning, or you buy a piece of jewelry and suffer an allergic reaction, we are not liable for those outcomes. We do not provide product warranties and the products themselves are provided by third-party brands “as-is” (aside from any manufacturer warranty that may apply). We encourage you to follow all manufacturer guidelines and exercise reasonable judgment in using and caring for any item.

  • Indirect or Consequential Damages: Soldout Finds will not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost opportunities, lost profits, or emotional distress, arising out of or related to our services or these Terms. For instance, if a delay in receiving an item means you miss an event, or if a product’s failure causes downstream effects, those types of losses are not recoverable from us. Some jurisdictions do not allow the exclusion of certain damages; in any case, our liability will be limited to the maximum extent permitted by law.

In all cases, our total cumulative liability to you for any claim arising out of or relating to a transaction or our services will not exceed the total amount you paid to us for the specific product or service in question. If multiple items or services are involved, any liability will be proportionately limited to the affected item’s portion of the price. This cap on liability applies whether the claim is based on contract, tort (negligence, etc.), strict liability, or any other legal theory.

No Warranties: Soldout Finds provides its services using reasonable skill and care, but we do not make specific guarantees beyond what is expressly stated in these Terms. To the extent allowed by law, we disclaim any implied warranties (for example, implied warranties of merchantability or fitness for a particular purpose) with respect to the services and any goods obtained. We cannot guarantee that every product sourced will meet all your expectations or that our service will be uninterrupted or error-free, but we promise to address issues within the scope of these Terms.

Consumer Rights: Nothing in this section is intended to exclude or limit any right or remedy you have under law which cannot be excluded or limited. Some jurisdictions provide non-waivable legal rights to consumers, and if those laws apply to you, they take precedence to the extent they contradict any provisions here. However, where permissible, our limitations will apply.

By agreeing to these Terms, you acknowledge this Limitation of Liability and accept that the allocation of risk is a part of the bargain between us – our pricing and service offering are set in reliance on these limitations.

12. Governing Law & Jurisdiction

This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with our services or these Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of laws principles. By using our services, you agree that the laws of Massachusetts will govern any disputes.

Furthermore, you agree that any legal action or proceeding arising out of or relating to these Terms or the transactions under them shall be brought exclusively in the state or federal courts located within the Commonwealth of Massachusetts. You consent to the personal jurisdiction of such courts and waive any objection that such courts are an inconvenient forum for the resolution of any dispute. If you are transacting with us from outside the United States, you understand and agree that your dealings with Soldout Finds LLC are considered to be centered in Massachusetts, and thus Massachusetts law applies, and any lawsuits shall be filed in Massachusetts as specified.

Notwithstanding the foregoing, Soldout Finds reserves the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

If you are a consumer residing in a state or country that mandates a different governing law or venue for disputes (and this mandate cannot be waived by contract), then the above governing law and jurisdiction clauses will apply to the extent permitted, and any unenforceable part will be severed or interpreted in a manner most closely reflecting the intention (for example, EU consumers might have certain forum rights). However, in absence of such a mandate, you agree to Massachusetts law and courts as stated.

13. Acceptance of Terms

By proceeding with any service request or payment, you confirm your acceptance of these Terms & Conditions. This includes any deposit or full payment you make for a sourced item, and any booking of styling services. When you click “I agree” (if using an online form), send written confirmation, or otherwise instruct us to proceed with sourcing/purchase – or when you pay an invoice we issue – that action constitutes your electronic signature and agreement to these Terms. You acknowledge that you have read and understood these Terms, and agree to abide by them in your relationship with Soldout Finds.

If you do not accept these Terms, you must not use Soldout Finds’ services or make any payment to us. Should you have any questions or concerns about these Terms, we encourage you to contact us for clarification before engaging our services. Once a payment is made or an order is placed, these Terms are deemed accepted and will govern the transaction.

These Terms & Conditions, together with any written service agreements or invoices provided, constitute the entire agreement between you and Soldout Finds LLC regarding our services. Any other representations or promises, whether oral or written, are superseded by this Agreement. In the event we update or revise these Terms (for instance, to reflect changes in law or our business practices), the latest version will be posted on our website with a new “Last Updated” date. Continued use of our services after such changes constitutes acceptance of the updated Terms.
